DHC's Lutzker Comments on Alphabet’s Multiple-Class Structure

December 5, 2019 – DHC’s Chair of the Corporate & Securities Law practice, Elliot Lutzker, spoke to Fortune about Google parent Alphabet’s multiple-class structure and the control Larry Page and Sergey Brin have over the company after stepping down as CEO and president.
Lutzker, a former Securities and Exchange Commission prosecutor, pointed out that the stock structure, unlike other major tech unicorns, will not allow them to control the company in perpetuity.
