Cindy M. Belvisi is Senior Counsel in the Corporate & Securities Law Practice at Davidoff Hutcher & Citron LLC. She advises businesses on mergers and acquisitions, representing clients on both buy-side and sell-side transactions across a broad range of industries.

Cindy guides clients through every stage of the deal process — from inception through closing — working closely with multidisciplinary teams to identify issues, manage risk, negotiate key terms, and keep transactions on track. Her approach is practical and efficient: she focuses on delivering clear, straightforward advice that helps clients make informed business decisions without unnecessary legal complexity.

In addition to her transactional practice, Cindy collaborates with accountants, financial advisors, and other professionals involved in transactions to coordinate the process and facilitate smooth execution. She also counsels clients on corporate governance, entity management, and general business matters, helping them stay organized, maintain compliance, and remain focused on growing their businesses.

“Why” I Enjoy My Practice

I enjoy my M&A practice because every transaction feels like a puzzle waiting to be solved that requires strategic thinking, problem-solving, and relationship management in a way that is both intellectually engaging and highly practical. Every transaction is different, which means I’m constantly learning about new industries, business models, and client objectives. I like helping clients navigate deals and finding solutions that move transactions forward efficiently while protecting their business interests.

What I find especially rewarding is being involved throughout the full lifecycle of a deal — from initial strategy discussions and negotiations through closing — and working collaboratively with clients and multidisciplinary teams to help bring a transaction to completion. I also appreciate that my practice is not limited to individual transactions but includes ongoing corporate governance and business counseling work that allows me to develop long-term relationships with clients and support them through different stages of their businesses’ growth and evolution. Most importantly, I appreciate that I have the opportunity to play a small role in moments that can have a meaningful impact on a client’s business, career, or personal life, whether that means helping them grow a company, complete a transformative transaction, or achieve a long-term goal.

My son goes to the School of American Ballet and we participate as much as possible in fundraising events for the school and the New York City Ballet.

Prior to Joining the Firm

Prior to joining the firm, I developed an atypical professional background that allowed me to work across a variety of industries and legal settings. I began my M&A practice at Veterinary Business Advisors, where I assisted veterinarians with the purchase and sale of veterinary practices. That experience gave me early exposure to the full lifecycle of business transactions and the importance of guiding clients through significant personal and professional decisions.

I later continued my transactional practice at Riker Danzig LLP, where I worked on mergers and acquisitions and other corporate matters across a broad range of industries.

Before focusing primarily on transactional work, I worked at Madison Commercial Real Estate Services Inc., in collaboration with the company’s General Counsel, assisting with compliance and employment matters, as well as drafting and negotiating commercial agreements.

Prior to that, I worked at Wildlife Conservation Society, where I helped minimize legal and operational risk and ensured legal and donor compliance for field and program teams in Africa. My work included advising on contracts, compliance, governance, and legal risk management related to conservation programs and partnerships with governments, donors, and NGOs.

This diverse background has shaped the way I approach client service and problem-solving, allowing me to bring both legal and practical business perspectives to my work.
